Terms of Service

These Terms of Service ("Terms") govern access to and use of the Virexya platform and services ("Virexya," "we," "us"). By purchasing, accessing, or using the services, the organization on whose behalf you act ("Customer," "you") agrees to these Terms. For enterprise, education, and government engagements, a separately signed Master Services Agreement, Order Form, or Data Processing Agreement, where executed, controls over these Terms to the extent of any conflict.

1. The service

Virexya standardizes staff and directory portraits. An administrator configures a visual standard, individuals upload a single photograph through a secure single-use link, and Virexya returns matched, studio-grade portraits. The service is provided on a business-to- business basis and is not intended for consumers.

2. Customer responsibilities

• You confirm you are authorized to purchase and administer the service for your organization.
• You are responsible for obtaining any consent required from individuals before inviting them to upload a photograph, and for your lawful basis to process their image.
• You will not upload images of anyone under the age of 18, images you lack the right to submit, or content that is unlawful.
• You will keep administrator credentials and single-use links confidential.

3. Image handling and deletion

Source photographs are hard-deleted within seven (7) days of upload. Final portraits are hard-deleted within thirty (30) days of project delivery. No uploaded image is used to train, fine-tune, or improve any artificial-intelligence model. Deletion events are logged. You are responsible for downloading and retaining delivered portraits within the retention window; after deletion, we cannot recover them.

4. Fees and payment

Fees are set out at purchase or on an Order Form. Card payments are processed by Stripe. Institutional customers may pay by invoice against a purchase order on net terms. One-time package fees are non-refundable once portrait generation has begun, except where required by law or expressly stated on an Order Form.

5. Intellectual property

You retain all rights in the photographs you submit and in the final portraits delivered to you, which you may use for your directories, websites, and personnel systems. We retain all rights in the Virexya platform, software, and models.

6. Service availability

We aim for prompt, reliable delivery but provide the service "as is" without warranties except those that cannot be excluded by law. Generation relies on third-party infrastructure; we disclose our processing subprocessors on request and in our Privacy Policy.

7. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Our aggregate liability arising from the service is limited to the fees paid by you for the service in the twelve (12) months preceding the claim.

8. Term and termination

These Terms apply for as long as you use the service. Either party may terminate for material breach not cured within thirty (30) days of notice. On termination, outstanding images continue to be governed by the deletion commitments in Section 3.

9. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws rules, unless a signed agreement specifies otherwise.
